Jakarta (B2B) - PT Indofood Sukses Makmur Tbk melalui anak usahanya yang tercatat di Bursa Efek Singapura, Indofood Agri Resources Ltd berencana melakukan akuisisi 50% saham di Comphania Mineira de Acucar e alcool Participacoes (CMAA) dan anak usaha Target Group.
Werianty Setiawan, Direktur dan Sekretaris Perusahaan Indofood Sukses Makmur, mengemukakan perseroan telah mendirikan anak usaha di Singapura untuk merealisasikan rencana itu. Seluruh saham anak usaha yang bernama IFAR Brazil Pte Ltd itu, ujar Werianty, telah dimiliki oleh perseroan.
Selanjutnya, perusahaan tersebut mendirikan Indo Agri Brazil Participacoes Ltda yang seluruh sahamnya dimiliki oleh IFAR Brazil.
Pada 26 Januari 2013, perjanjian tentang rencana akuisisi tersebut telah ditandatangani oleh sejumlah pihak, seperti Indo Agri Brazil, Apia Sp Participacoes, anak usaha dari JF Citrus Agropecuaria Ltda (JF Group), ZAM Ventures, dan Fundo de Investimento em Participacoes PCP.
Pada saat yang bersamaan dengan rencana akuisisi itu, CMAA akan meningkatkan modal sahamnya. Sementara itu, JF Group akan meningkatkan kepemilikan sahamnya dalam CMAA dengan mengambil bagian seluruh saham yang akan dikeluarkan oleh CMAA tersebut.
Dalam rencana akuisisi tersebut, Indo Agri Brazil akan membayar keseluruhan harga pembelian sekitar R$143,4 juta (real Brazil) atau setara dengan US$71,7 juta.
Harga pembelian yang akan dibayarkan Indo Agri Brazil telah disetujui pihak yang bersangkutan setelah dilakukan negosiasi dan atas kesepakatan pihak pembeli dan penjual.

Indofood Sukses Makmur Director and Corporate Secretary Werianty Setiawan said the company has established a subsidiary in Singapore to actualize the plan. The entire shares of subsidiary named IFAR Brazil Pte Ltd have been acquired by the company.
Moreover, the company established Indo Agri Brazil Participacoes Ltd which the entire shares are owned by IFAR Brazil.
On January 26, 2013, the agreement on the acquisition has been signed by a number of parties, such as the Indo Agri Brazil, Apia Sp Participacoes, a subsidiary of JF Citrus Agropecuaria Ltda (JF Group), ZAM Ventures, and Fundo de Investimento em Participacoes PCP.
At the same time, CMAA will increase its capital, while JF Group will increase its shareholding in the CMAA by taking all shares to be divested by the CMAA.
In the acquisition, Indo Agri Brazil will pay the entire purchase price of approximately R$ 143.4 million (Brazilian real), equivalent to US$ 71.7 million.
The price to be paid by Indo Agri Brazil has been approved by the concerning parties after the negotiations between buyer and seller.
